Terms of Service

1. Acceptance
These Terms of Service ("Terms") govern your access to and use of Cue websites, applications, messaging services, software, integrations, and related services (collectively, the "Service") provided by Shared Context Lab ("Cue," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility and Accounts
You may use the Service only if you can form a binding contract with us, comply with these Terms, and comply with applicable law. You must be at least 18 years old to use the Service on your own. If you are at least 13 but under 18, you may use the Service only with the consent of a parent or legal guardian who reviews and agrees to these Terms on your behalf and is responsible for your use of the Service. The Service may not be used by anyone under 13. You are responsible for your account, credentials, connected services, and all activity under your account. You must promptly notify us of unauthorized access or security issues.
3. Access and Restrictions
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your personal or internal business purposes. You will not:
- copy, modify, sell, lease, sublicense, or distribute the Service;
- reverse engineer, decompile, or attempt to extract source code except as allowed by law;
- scrape, harvest, or collect data from the Service without authorization;
- interfere with, disrupt, or compromise the Service or its security;
- use the Service to violate law, rights, contracts, or privacy obligations;
- submit malware, spam, deceptive content, or harmful content;
- use the Service to build or benchmark competing products without our consent; or
- access the Service by means other than those we provide or authorize.
4. Acceptable Use and Prohibited Content
The Service is intended to be a general-purpose personal assistant. You may not use the Service — including any prompts, requests, messages, or other content you submit — to create, request, generate, send, share, or promote:
- sexually explicit, pornographic, or sexualized content of any kind;
- content that promotes, glorifies, encourages, or provides instructions for self-harm, suicide, or disordered eating;
- violence, threats, incitement, terrorism, or graphic depictions of violence or gore;
- harassment, bullying, stalking, hate speech, or content that demeans or discriminates against any individual or group;
- instructions for or facilitation of illegal activity, including the production or acquisition of weapons, illegal drugs, or other contraband;
- content that exploits, endangers, or sexualizes minors in any way; or
- content intended to deceive, defraud, or impersonate others.
The Service is not designed or intended to provide medical, mental health, legal, financial, or other professional advice, and you may not use it as a substitute for such advice (see Section 7). We may, but are not obligated to, monitor or review content (including with automated tools), and we may filter, refuse, decline to generate, or remove any content or Output that we believe violates these Terms. Violations of this Section may result in suspension or termination under Section 12.
5. User Content
As between you and us, you retain ownership of messages, files, data, and other content you provide to or make available through the Service ("User Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit, display, and create derivative works from User Content as necessary to provide, maintain, secure, and improve the Service, comply with law, and as otherwise authorized by you.
You are responsible for User Content and represent that you have all rights necessary to provide it to the Service.
6. AI Output
The Service may generate text, suggestions, summaries, reminders, or other output using artificial intelligence ("Output"). Output may be inaccurate, incomplete, offensive, duplicative, or unsuitable for your use. You are responsible for reviewing Output and for decisions or actions taken based on Output. Output is not professional advice (see Section 7). We may decline to generate Output in response to requests that violate Section 4, and we do not guarantee that Output will comply with your expectations or requirements.
7. No Professional Advice; Not for Emergencies
The Service and Output are provided for general informational and personal-productivity purposes only. They do not constitute, and are not a substitute for, professional advice of any kind, including medical, mental health, legal, financial, tax, or other professional advice, diagnosis, or treatment. Always seek the advice of a qualified professional with any questions you may have regarding a medical or mental health condition or other matter requiring professional judgment, and never disregard or delay seeking professional advice because of something provided through the Service.
The Service is not designed for, and must not be relied upon in, emergencies or crisis situations. If you are experiencing a medical emergency, call 911 or your local emergency number immediately. If you or someone you know is experiencing a mental health crisis or considering self-harm or suicide, call or text 988 (the Suicide & Crisis Lifeline in the United States) or contact a local crisis resource.
8. Third-Party Services
The Service may connect to third-party services at your direction. By connecting a third-party service, you authorize us to access and use information from that service to provide the Service. Third-party services are governed by their own terms and policies. We are not responsible for third-party services.
9. Payments and Subscriptions
Certain parts of the Service may require payment. If you purchase a paid feature or subscription, you authorize us and our payment processors to charge your payment method for applicable fees and taxes. Subscriptions may renew automatically unless canceled as described at purchase or in account settings. Except where required by law or expressly stated, fees are non-refundable.
10. Communications
By providing contact information, you consent to receive service, security, account, and support communications. If you opt in to marketing text messages or similar promotional communications, message and data rates may apply, frequency may vary, and consent is not a condition of purchase. You may opt out of promotional text messages by replying STOP or following the instructions provided.
11. Intellectual Property and Feedback
We and our licensors own the Service, including software, designs, algorithms, models, documentation, trademarks, and other intellectual property, excluding your User Content. If you provide feedback, you grant us the right to use it without restriction or compensation.
12. Suspension and Termination
We may suspend, limit, or terminate access to the Service at any time if we believe you violated these Terms, created risk, caused harm, or used the Service unlawfully. You may stop using the Service at any time and may request account deletion subject to our Privacy Policy.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, AND SECURITY.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, GOODWILL, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR $100.
15. Indemnity
You will defend, indemnify, and hold harmless Cue and its affiliates, officers, directors, employees, contractors, agents, service providers, and licensors from claims, damages, liabilities, losses, costs, and expenses arising from your use of the Service, User Content, violation of these Terms, violation of law, or violation of third-party rights.
16. Governing Law and Disputes
These Terms are governed by California law, excluding conflict-of-law rules. Before filing a claim, you agree to contact us and try to resolve the dispute informally. Any dispute will be resolved only on an individual basis and not as part of a class, collective, or representative action, except where applicable law requires otherwise.
17. Changes and Contact
We may update these Terms from time to time. Changes are effective when posted unless otherwise stated. Continued use of the Service after changes means you accept the updated Terms. Questions may be sent to hello@sharedcontextlab.com.
